Association
A legal person, such as a public limited company, a private limited company or an association, is obliged by law to draw up articles of association. Articles of association are laid down in a deed of incorporation drafted and passed by a civil-law notary.
Provisions
The articles of association state the basic principles of a legal person. The most important articles consist of the legal person’s name and seat, the objective, the sum of the capital and the number of shares to be divided, the shareholders’ register, the acquisition, transfer and obligation to offer shares, articles about the board of directors, the adoption of the annual accounts, provisions about the general shareholders’ meeting and many more. More often than not, these types of deeds need to be translated by a certified translator.
